Terms of Service

These Terms govern access to and use of Surgbly, including the website, application, dashboards, APIs, reports, integrations, monitoring workflows, Auto-Fix features, Platform Tasks, Influence Plans, exports, and related services (the “Service”).
1. Business Use
The Service is for business and professional use only, limited to websites, domains, and systems you own, control, or are authorized to manage for a client.
2. Service Description
SEO monitoring and diagnosis, AEO answer-engine tracking, GEO workflows, owned-site Fix Packs, Auto-Fix deployment for policy-eligible changes, Platform Tasks for claimable profiles, Influence Plans for external-source gaps, and verification/reporting.
3. No SEO, AEO, GEO, Ranking, Citation, Traffic, or Revenue Guarantee
Surgbly does not guarantee any third-party ranking, citation, mention, traffic, conversion, or revenue outcome, or that a deployed change will be crawled, indexed, or cited by any third party. Forecasts and priority scores are directional planning aids only.
4. Customer Responsibilities
You are responsible for the legality and ownership of your content, obtaining rights and client authorizations, reviewing changes before approval, configuring Auto-Fix policy carefully, and maintaining independent backups.
5. Site and Integration Access
You authorize Surgbly to access and use data from connected integrations (GSC, GA4, CMS, repositories, payment systems) as needed to provide the Service.
7. Policy-Eligible Changes
A change is policy-eligible only if it targets an owned-site surface, the connector supports the full read/write/verify/rollback workflow, active policy and entitlement allow it, deterministic validation passes, factual claims are source-supported, and it is not a blocked category. AI output alone never makes a change policy-eligible.
8. Review-Required and Influence-Only Actions
Redirects, URL deletion, unsupported factual claims, and any third-party-source change are excluded from autonomous deployment and become Influence Plans instead.
9. Rollback
Rollback is offered where the connector supports it, but is not guaranteed to always be available, complete, or immediate. You remain responsible for independent backups.
10. Site Breakage and Liability Boundary
Surgbly is not responsible for loss caused by incorrect configuration, unauthorized approval, third-party platform behavior, or failure to maintain backups. Liability for indirect and consequential damages is excluded.
11. Beta, Experimental, and Third-Party-Dependent Features
Beta features may change or be discontinued at any time. AI answer results may vary between runs and providers.
12. Acceptable Use
No unlawful content, scraping in violation of third-party terms, abusive automated queries, bypassing rate limits, reselling access, reverse engineering, or manipulating search/AI systems through spam or deception.
13. Usage Limits and Rate Limits
Use is subject to plan, site, prompt, crawl, and token limits, with throttling or manual review to protect reliability and cost.
14. Payments, Billing, and Dodo Payments
Surgbly uses Dodo Payments for checkout, billing, and subscription management. Fees are billed in advance and payments are non-refundable except as stated here or required by law.
15. Failed Payments, Dunning, and Entitlement Revocation
Failed payment may restrict new scans, AI calls, exports, and deployments until resolved through the customer portal.
16. Refunds and Disputes
Refunds are not automatic. Disputes and chargebacks may be handled by Dodo Payments or card networks; risky workflows may be restricted during an active dispute.
17. Cancellation and Termination by Customer
Cancellation takes effect per the checkout flow, does not delete data automatically, and does not remove amounts already due.
18. Suspension and Termination by Surgbly
Surgbly may suspend or terminate access for breach, payment failure, security risk, or acceptable-use violations, with notice where practical.
19. Data Export, Retention, and Deletion
A 30-day export window follows cancellation for reports, audit logs, and deployment history, subject to legal holds.
20. Customer Content and Customer Data
You retain ownership of Customer Content and grant Surgbly a limited license to process it to provide, secure, and operate the Service.
21. Surgbly IP
Surgbly owns its platform, workflows, models, and branding. You may use generated reports and outputs for your internal and client work under your plan.
22. AI-Generated Suggestions and Output Ownership
You are responsible for reviewing Generated Outputs and verifying factual, legal, and regulated claims before publication. Surgbly does not guarantee outputs are accurate or accepted by third-party systems.
23. Third-Party AI, Search, Data, CMS, and Payment Providers
Surgbly relies on providers including OpenAI, Anthropic, Perplexity, Google/Gemini, DataForSEO, CMS platforms, and Dodo Payments, and is not responsible for their outages or policy changes.
24. AI Provider Data Handling Disclosure
Provider terms differ and may change; Surgbly configures providers per its current contracts and technical controls.
25. Privacy and Data Processing
Personal data processing is described in the Privacy Policy and, where applicable, a Data Processing Addendum.
26. Confidentiality
Each party protects the other's non-public information with reasonable care, used only to perform or receive the Service.
27. Security
Reasonable administrative, technical, and organizational measures are used; no service is completely secure.
28. Support and Availability
Support and uptime commitments apply only where stated in an order form or SLA; otherwise the Service is provided without a specific uptime guarantee.
29. Warranties Disclaimer
The Service is provided “as is” and “as available,” without warranties of accuracy, uninterrupted operation, or that any issue will be found, fixed, or improved.
30. Indemnity
You indemnify Surgbly against claims arising from your content, your lack of authority over a connected site, or your violation of these Terms or third-party rights.
31. Limitation of Liability
Liability for indirect and consequential damages is excluded. Total aggregate liability is capped at fees paid in the 12 months before the claim.
32. Changes to the Service or Terms
Material changes are communicated in advance; continued use after the effective date means acceptance.
33. Assignment
You may not assign these Terms without consent; Surgbly may assign them in connection with a merger, acquisition, or asset sale.
34. Force Majeure
Surgbly is not liable for delay caused by events beyond its reasonable control, including provider outages and government action.
35. Governing Law and Dispute Resolution
Governed by the laws of India. Disputes are first addressed in good faith, then referred to arbitration under the Arbitration and Conciliation Act, 1996, seated in Ahmedabad, Gujarat, India.
